Welcome to Styleup Innovation. These Terms & Conditions (these "Terms") govern your access to and use of the website located at https://styleupinnovation.com (the "Site") and any purchase you make through the Site. The Site is operated by Styleup Innovation LLC, doing business as Styleup Innovation ("Styleup Innovation," "we," "us," or "our").

By accessing the Site or placing an order, you ("you," "your," or "Customer") agree to be bound by these Terms and by our Shipping Policy, Returns, Refunds & Cancellations Policy, Payment Policy, Privacy Policy, Cookie Policy, and Disclaimer (together, the "Policies"), each of which is incorporated into these Terms by reference. If you do not agree to these Terms, please do not use the Site.

2. Eligibility

To use the Site or place an order, you must:

  • Be at least 18 years old, or the age of legal majority in your state of residence;
  • Have the legal capacity to enter into a binding contract; and
  • Provide accurate, current, and complete information when placing an order or creating an account.

If you use the Site on behalf of another person or entity, you represent that you are authorized to accept these Terms on their behalf.

3. Products and Product Information

We sell handbags and related fashion accessories through the Site, including structured totes, shoulder bags, bucket bags, and evening clutches.

We take care to display our products accurately, including descriptions, images, and specifications. Even so, we cannot guarantee that colors, dimensions, or other details will appear on your screen exactly as they do in person, since display settings vary from device to device.

We may modify, discontinue, or limit the availability of any product at any time without prior notice. Product availability is not guaranteed until your order is confirmed.

4. Pricing

All prices are displayed in U.S. Dollars (USD) and exclude applicable taxes and shipping charges unless otherwise stated.

Applicable sales tax and shipping charges are calculated and displayed at checkout before you complete your purchase.

We may change prices at any time. Price changes do not affect orders that have already been confirmed.

If a price is obviously incorrect due to a typographical or technical error, we reserve the right to cancel any affected order and issue a full refund of any amount paid.

5. Orders and Order Acceptance

When you place an order, you are making an offer to purchase the selected products under these Terms.

After you place an order, you will receive an order confirmation email. This email acknowledges that we received your order; it is not our acceptance of it.

We accept your order when we ship your products and send you a shipping confirmation email. At that point, a contract of sale is formed.

We may refuse or cancel any order at our discretion, including in cases of suspected fraud, pricing errors, product unavailability, or violations of these Terms. If we cancel an order after payment has been taken, we will issue a full refund.

You are responsible for making sure the shipping address and contact details you provide are accurate. Our Shipping Policy explains how address errors are handled.

6. Payment

Accepted payment methods, billing procedures, and related terms are described in our Payment Policy. By submitting payment information, you represent that you are authorized to use the selected payment method.

7. Shipping and Delivery

We currently ship only within the United States (48 contiguous states). Orders are typically processed within 1–2 business days, with estimated delivery in 3–5 business days from the date your order ships, subject to the terms and exceptions described in our Shipping Policy. For purposes of these Terms and all Policies, "business days" means Monday through Friday, excluding U.S. federal holidays. Delivery estimates are good-faith estimates, not guarantees.

8. Returns, Refunds, and Cancellations

We offer a 30-day return period, measured from the date your order is delivered, subject to the conditions in our Returns, Refunds & Cancellations Policy. Please review that policy before making a purchase.

9. Accounts

Creating an account is optional — you may check out as a guest. If you choose to create an account:

  • You are responsible for keeping your login credentials confidential and for all activity under your account.
  • You agree to notify us promptly at support@styleupinnovation.com if you suspect unauthorized use of your account.
  • We may suspend or terminate any account that violates these Terms or that we reasonably believe is being used fraudulently.

10. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation;
  • Interfere with or disrupt the operation or security of the Site;
  • Attempt to gain unauthorized access to any part of the Site, other accounts, or our systems;
  • Use automated tools (such as bots, scrapers, or crawlers) to access the Site without our prior written permission;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Upload or transmit viruses, malware, or other harmful code; or
  • Resell products purchased from the Site for commercial purposes without our prior written consent.

We may suspend or terminate your access to the Site if you violate this section.

11. Intellectual Property

All content on the Site — including text, images, graphics, logos, product descriptions, page layouts, and software — is owned by or licensed to Styleup Innovation and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may access and use the Site for personal, non-commercial shopping purposes only. You may not copy, reproduce, distribute, modify, or create derivative works from any Site content without our prior written permission.

"Styleup Innovation" and any related logos are trademarks or trade names of Styleup Innovation. Nothing in these Terms grants you any right to use them.

12. Customer Reviews and Submissions

If you submit reviews, comments, photos, or other content to the Site ("Submissions"):

  • You grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, display, and distribute your Submissions in connection with the Site and our marketing.
  • You represent that your Submissions are your own, are truthful, reflect your genuine experience, and do not infringe the rights of any third party.
  • You must disclose any material connection you have with Styleup Innovation — for example, if you received a free product or compensation in exchange for a review.
  • We may remove or decline to publish any Submission at our discretion, but we do not suppress reviews merely because they are negative.

13. Third-Party Links and Services

The Site may contain links to third-party websites or services that we do not control. We are not responsible for the content, policies, or practices of any third-party website. You access third-party links at your own risk, and we encourage you to review the terms and privacy policies of any third-party site you visit.

14. Disclaimer of Warranties

Except as expressly stated in these Terms or required by applicable law:

  • The Site and all products are provided on an "as is" and "as available" basis.
  • To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Some states do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. Nothing in these Terms limits any rights you have under applicable consumer protection law that cannot be waived by contract.

15. Limitation of Liability

To the fullest extent permitted by law:

  • Styleup Innovation will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or loss of goodwill — arising out of or relating to your use of the Site or your purchase of products.
  • Our total aggregate liability for any claim arising out of or relating to these Terms or your purchase will not exceed the amount you paid for the product(s) giving rise to the claim.

Some states do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Styleup Innovation and its owners, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles.

Before filing any formal claim, you agree to first contact us at support@styleupinnovation.com and attempt in good faith to resolve the dispute informally for at least 30 days.

Any dispute arising out of or relating to these Terms, the Site, or your purchase that is not resolved informally will be resolved exclusively in the state or federal courts located in Queens County, New York, and you and we each consent to the personal jurisdiction and venue of those courts.

Nothing in this section prevents either party from bringing an eligible claim in small claims court or limits any rights you may have under applicable law.

18. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top of this page shows when the latest changes were made. Material changes apply prospectively from the date they are posted, and your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms. The version of the Terms in effect when you place an order governs that order.

19. General Provisions

Entire Agreement. These Terms, together with the other Policies, are the entire agreement between you and Styleup Innovation regarding the Site and your purchases.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.

Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, carrier disruptions, labor disputes, or government actions.
